Prizecart Terms of Use

Last Updated: 29 September 2026

Prizecart Pty Ltd (ABN 47 688 017 692) ("Prizecart", "we", "us", "our") operates a digital shopping platform, including but not limited to its website, mobile application, browser tools, retailer integrations, in-store receipt scanning and related services (collectively, the "Platform").

The Platform allows users to shop with participating online retailers, to scan receipts from participating physical venues, and to receive promotional benefits, including digital Chances, Set Pieces, collection progress and prize outcomes (the "Services").

These Terms of Use ("Agreement") constitute a legally binding agreement between Prizecart and any individual who accesses or uses the Platform or maintains an account with Prizecart ("you", "your", "User").

By accessing the Platform, creating an account, or using any of the Services, you acknowledge that you have read, understood and agree to be bound by this Agreement. If you do not agree, you must not use the Platform.

Prizecart may modify this Agreement to reflect changes in law, security or the Services, or for other reasonable business reasons. Prizecart will take reasonable steps to notify you of material changes; where a change materially disadvantages you, you may close your account. Continued use of the Platform after a modification takes effect constitutes acceptance of the updated terms.

1. Nature of Prizecart Services; Our Role and Legal Position

Prizecart operates a "digital mall" and a network of participating physical venues. Prizecart is a discovery platform: it showcases and helps users discover independent third-party online retailers ("Participating Traders") and independent physical stores, cafes and other businesses ("Participating Venues"), and lets users earn promotional Chances by shopping with them.

Participating Traders and Participating Venues are independent businesses. Their inclusion on the Platform is for discovery and promotional exposure only and does not create any partnership, joint venture, agency, employment, endorsement or other affiliation between them and Prizecart beyond the commercial arrangement under which they are featured. Prizecart does not sell their goods or services; each purchase is a contract between you and the relevant Participating Trader or Participating Venue, on that business's own terms.

As the operator of the Platform, Prizecart may from time to time run promotions, online and in store. Unless the applicable Promotion Terms & Conditions expressly state otherwise, any such promotion:

  • is conducted solely by Prizecart, as the sole promoter;
  • involves prize outcomes generated and determined using Prizecart's own technology (including a random number generator);
  • may feature or relate to Participating Traders and Participating Venues, but they are not promoters, co-promoters, prize suppliers or administrators of the promotion, do not fund or supply any prize, and bear no responsibility for the promotion; and
  • is funded, administered and conducted by Prizecart, which is solely responsible for it.

Co-branded and brand-supported promotions. From time to time a Participating Trader, Participating Venue, brand or other third party may take part in a promotion beyond simply being featured on the Platform. It may, for example, contribute or fund some or all of a prize, have a prize or collectible themed to or named after it, or promote a campaign through its own channels and at its own cost. Where that happens it will be disclosed in the applicable Promotion Terms & Conditions and, where relevant, in the Platform; Prizecart remains the promoter and remains responsible for conducting the promotion, including for determining winners and awarding prizes; and the contributing party has no role in determining any outcome and no role in deciding who wins.

Nothing in this clause obliges Prizecart to run any promotion on any particular basis. The arrangements for each promotion are set out in its own Promotion Terms & Conditions, which prevail over this clause.

Prizecart:

  • Is not a bank or authorised deposit-taking institution;
  • Does not provide financial products within the meaning of the Corporations Act 2001 (Cth);
  • Does not operate a gambling service;
  • Conducts trade promotions subject to applicable Australian law.

Any promotion, prize structure or campaign operated through the Platform is governed by separate Promotion Terms & Conditions, which supplement this Agreement. Prize promotions are conducted as trade promotion lotteries under applicable Australian State and Territory law and are open only to eligible residents of Australia (see clause 10).

Nothing on the Platform constitutes financial advice, gambling services, or investment products.

2. Eligibility and Account Registration

Access to certain Services requires the creation of a Prizecart account.

You must:

  • Be at least 18 years of age and a resident of Australia;
  • Be legally capable of entering into binding contracts;
  • Provide accurate, current and complete information;
  • Maintain only one (1) account.

Each of the following may only be linked to a single Prizecart account:

  • Email address
  • Mobile phone number
  • Bank account or payment method
  • Identity credential
  • Device (where reasonably determined by Prizecart)

You must not create, control, or operate multiple accounts. Prizecart may, at its sole discretion, determine whether accounts are linked, associated, or operated by the same individual.

Prizecart reserves the right to suspend, merge, restrict, or permanently terminate duplicate or associated accounts.

3. Account Security and Verification

You are responsible for maintaining the confidentiality of your login credentials and verification mechanisms, including SMS verification codes.

You agree that:

  • Only one mobile number may be linked to your account.
  • You will not use temporary, virtual, rotating, or bulk-number services to create or verify accounts.
  • You will not share verification credentials with third parties.

Prizecart may require identity verification, transaction verification, proof of purchase (including an original receipt) or additional documentation before permitting prize confirmation, prize payment, or continued access, including a declaration of whether you own, manage or work at a Participating Venue or Participating Trader.

Prizecart may suspend accounts pending review without prior notice.

4. Chances, Scanning and Limits

4.1 What a Chance is. A Chance is a promotional allocation issued in connection with an eligible purchase made through a Participating Trader or at a Participating Venue, or given by Prizecart as a bonus under clause 4.6 (for example, for completing a quest or a challenge). A Chance is one chance to win in the applicable promotion. The number of Chances earned on a purchase depends on the amount spent and on where you shopped. The current rates are published in the applicable Promotion Terms & Conditions and shown in-app at or before the time of purchase.

4.2 Scanning. The outcome of a Chance, and of a Mystery Box where a promotion uses them, is determined only when it is scanned. For an in-store purchase, your Chances and Mystery Boxes are scanned when you scan the receipt in the Platform. For an online purchase, they are scanned when the order is registered in the Platform. Bonus Chances and Mystery Boxes are scanned when you open them in the Platform. In this Agreement, "scan", "open" and "reveal" are used interchangeably to describe that action. Chances and Mystery Boxes that have not been scanned when the relevant promotion closes expire, and no prize is determined or awarded for them.

4.3 Mystery Boxes. A promotion may also give you Mystery Boxes on eligible purchases and as bonuses under clause 4.6. How many you earn, and what a Mystery Box can hold (for example, a Set Piece), are set out in the applicable Promotion Terms & Conditions and shown in-app.

Chances and Mystery Boxes are different things, and each promotion's terms say what each can reveal. Each Chance is a separate chance to win, so the more Chances you earn, the more likely you are to win overall, though the likelihood attached to each individual Chance never changes. Most Chances reveal nothing ("No Win"). The likelihood attached to each individual Mystery Box does not change during a promotion either, except as its Promotion Terms & Conditions state.

4.4 Limits. Each promotion limits the Chances and Mystery Boxes you can earn, for example one receipt per venue per day, how purchases at one online store on one day are counted, and the most Chances per account in any rolling seven-day period. The current limits are published in the applicable Promotion Terms & Conditions and shown in-app. Anything above a limit earns nothing. Bonus Chances count toward these limits. Limits are fixed for the duration of a promotion and may change between promotions, on notice in-app. Prizecart may implement additional anti-abuse controls.

4.5 Nature of Chances. Chances do not constitute property, currency, or proprietary rights. They cannot be bought, sold, transferred, gifted or exchanged, and have no value outside the applicable promotion.

4.6 Bonus Chances and bonus Mystery Boxes. From time to time Prizecart may give you Chances or Mystery Boxes in addition to those you earn on a purchase, for example as part of a limited-time offer, a quest, a referral, a welcome offer, or a challenge set by Prizecart, such as watching an advertisement in the Platform or scanning a receipt that includes a nominated product as a line item. The offer and its conditions are shown in the Platform at the time. A bonus Chance works like any other Chance: it counts toward the limits in clause 4.4 and is an entry in any draw it falls within. A bonus Mystery Box works like any other Mystery Box. A prize won on a bonus Chance or bonus Mystery Box that is not linked to a purchase is won at the time of the scan, as described in clause 6.1. Prizecart decides whether and when to offer them and is not obliged to offer them.

4.7 Receipt scanning. To earn Chances in store you photograph your receipt in the Platform. You agree that:

  • you will only scan receipts for purchases you made yourself, and never a receipt belonging to another customer, a discarded receipt, an altered, duplicated, fabricated or digitally created receipt, a receipt generated or modified by artificial intelligence or any other software, a receipt for a purchase that was refunded, or a receipt obtained from a venue's staff without a matching purchase;
  • a receipt must be scanned within 48 hours of the purchase time shown on it, and each receipt can be scanned once, by one account;
  • the Platform reads the receipt to identify the venue, the date and time, and the total, and may ask you to confirm or rescan where it cannot read them;
  • receipt images and the text extracted from them are used only to validate the purchase and issue Chances, are retained only for as long as reasonably necessary for that purpose and for the investigation of any suspected abuse, and are then deleted. Prizecart may use a third-party service to read a receipt image where it cannot be read on your device; and
  • Prizecart may check any receipt against the issuing venue's own transaction records; and
  • Prizecart may ask you to produce the original receipt before or after a prize is paid.

4.8 Participating Venues. The current list of Participating Venues is at https://prizecart.app/stores and changes over time. A purchase earns Chances only if the venue is a Participating Venue at the time of purchase. A venue's participation can be suspended or can end, including where the venue has not paid its participation fee. While a venue's participation is suspended or has ended it is not a Participating Venue, and receipts from it do not earn Chances. Chances you already earned while that venue was participating are not affected, and neither is any prize won on them. If you scan a receipt from a venue that is not on Prizecart, no Chances are issued; the Platform may offer to record the venue as a suggestion, which does not involve any personal information about you being shared with that venue.

4.9 Location. Location access is optional, and the Platform only asks for it if you turn on nearby shop alerts, which tell you when you are at a Participating Venue where a receipt can earn Chances. For this, the Platform uses your device's precise location, including in the background while the Application is closed, so that your device can notice when you arrive at a Participating Venue. The checking happens on your device: your location is not sent to Prizecart or to anyone else, and Prizecart does not store it. You can turn nearby shop alerts off, or turn off location access in your device settings, at any time, and everything else on the Platform works without it.

5. Set Pieces and Collection Progress

5.1 What Set Pieces are. A Set Piece is a digital collectible forming part of a named Set. Set Pieces are revealed in Mystery Boxes or by Chances when you scan, as the applicable Promotion Terms & Conditions describe, and may also be provided by Prizecart as disclosed bonuses (for example, the Welcome Set Pieces in clause 5.7).

5.2 How a Set Prize is won. Where a promotion offers Set Prizes, a Set Prize is won only when you hold every Set Piece in that Set at the same time, each revealed in a Mystery Box or by a Chance, or provided as a disclosed bonus. Whichever reveals the final missing piece wins. On a win, all of that Set's pieces are handed in, your Set resets to empty, and you can win that Set again while any of that prize remains available. Each prize has a maximum number for the season, published in the Promotion Terms & Conditions; once that number has been awarded the Set is exhausted and can no longer be won, and pieces of that Set confer nothing. Set Pieces are not equally likely: in each Set one piece is revealed far less often than the others, and one further piece less often than the rest, as described in the Promotion Terms & Conditions. A Set Piece has no cash value on its own, cannot be exchanged, transferred, sold, traded or redeemed, and holding some but not all of the pieces in a Set entitles you to nothing.

5.3 Duplicates. You may receive a Set Piece you already hold. A duplicate Set Piece is shown as a count on the piece, confers nothing further, cannot be exchanged, redeemed or converted, and does not affect your chance of winning.

5.4 Ownership. Set Pieces remain the property of Prizecart at all times and are licensed to you on a non-exclusive, non-transferable basis solely for participation in the applicable promotion.

5.5 Expiry. Set Pieces and collection progress expire at the close of the promotional season to which they relate, including where a season is closed early under its Promotion Terms & Conditions, and do not carry over into any subsequent season or promotion.

5.6 Features and gating. The Platform may include collection, progress or quest features. Prizecart may restrict, modify, suspend or withdraw any such feature at any time. No user has a contractual entitlement to continued access to any such feature, and no such feature confers any entitlement to a prize or improves any user's chance of winning, except as expressly stated in the Promotion Terms & Conditions.

5.7 Welcome Set Pieces. On completing the starter activity, each new account is provided once with a small number of Set Pieces chosen at random within nominated Sets, as described in the Promotion Terms & Conditions. They count toward completing their Set like any other Set Piece, are not Chances or Mystery Boxes, do not enter any draw, are provided once per person across any linked or associated accounts, and expire under clause 5.5.

6. Provisional and Confirmed Outcomes

6.1 In-store wins, and wins on bonus Chances and bonus Mystery Boxes. A prize won on the scan of a valid receipt, or on a bonus Chance or bonus Mystery Box that is not linked to a purchase, is won at the time of the scan and is not provisional, unless it depends on a Set Piece from an online purchase that has not yet been confirmed (clause 6.2). It is paid within the period stated in the Promotion Terms & Conditions, subject to clauses 6.4 and 9.

6.2 Online wins are provisional until confirmed. An outcome on an online scan indicating a prize is provisional only. It creates no entitlement, is not payable, and may be withdrawn in accordance with this Agreement or the applicable Promotion Terms & Conditions. You do not own, and have no right to, an online prize unless and until it is confirmed. Where a Set Prize depends on Set Pieces revealed on one or more online orders, including a Set completed on an in-store scan, every one of those orders must be confirmed.

6.3 Confirmation conditions. An online prize becomes confirmed only when all of the following are satisfied:

  • The underlying purchase is validated as completed, and is not refunded, reversed, cancelled, charged back, or the subject of a pending return, claim or dispute;
  • For an online purchase, the transaction has been validated as a completed, commissionable sale through the relevant retail partner's reporting, and that validation has not since been reversed, withheld or clawed back. This condition applies to online purchases only; Chances earned in store are dealt with under clauses 4.8 and 6.1;
  • Your identity, age, residency and eligibility are verified to Prizecart's reasonable satisfaction;
  • Fraud, integrity and account-standing checks are completed to Prizecart's reasonable satisfaction;
  • All information and documentation requested by Prizecart is provided within the time specified.

Confirmation depends on the retailer's own return, refund and chargeback windows and on the reporting cycles of our retail partners. It commonly takes between sixty (60) and one hundred and twenty (120) days, and may take longer where a retailer's window is longer, where a return, claim or dispute is pending, or where verification remains outstanding. Prizecart may, at its discretion, confirm a prize earlier where it is satisfied the underlying purchase has cleared.

6.4 Account standing, and our right to withhold a prize. Prizecart may decline to confirm a provisional outcome, and may withhold, reduce or refuse to pay a prize, where it reasonably determines that your account is not in good standing or that your conduct has undermined, or is likely to undermine, the integrity of a promotion. Without limitation, this includes where:

  • your account shows a pattern of cancellations, refunds, returns, reversals or chargebacks;
  • you hold, control or benefit from more than one account, or your account is linked or associated with another by shared identity, contact details, payment method, address or device;
  • automation, scripting, bots, emulators, virtual or rotating numbers, or any means of interacting with the Platform other than as a genuine individual user have been used in connection with your account;
  • receipts scanned on your account show a pattern inconsistent with genuine personal purchases, or a receipt is found not to be for your own purchase;
  • purchases connected to the outcome do not appear to be genuine consumer purchases, including where they appear to have been placed with an intention to cancel or return;
  • you have provided false, misleading or incomplete information at any time;
  • you have attempted to interfere with, manipulate, reverse-engineer or exploit any part of the Platform, its mechanics or its outcomes, or have benefited from a defect or error; or
  • you are ineligible under the applicable Promotion Terms & Conditions.

Where Prizecart withholds a prize under this clause it will act reasonably and in good faith, will notify you and give its reasons, will give you a reasonable opportunity to respond, and will keep records of its determination. Nothing in this clause limits your rights under the Australian Consumer Law.

6.5 Recovery after a prize has been paid. If Prizecart pays a prize and afterwards determines, acting reasonably and on documented evidence, that it was obtained in any of the circumstances described in clause 6.4 or clause 9, on a receipt that was not for your own purchase, or otherwise in breach of this Agreement or the applicable Promotion Terms & Conditions, Prizecart may recover the prize, or an amount equal to its value, from you as a debt due and payable, and may set that amount off against anything otherwise payable to you. This right survives closure or termination of your account.

6.6 Determination. Prizecart's determination regarding confirmation status is final, subject to your rights under the Australian Consumer Law and any applicable law.

7. Refunds, Cancellations and Claw-back

If you cancel, refund, return, reverse or charge back an online purchase, or a venue refunds an in-store purchase after you have scanned its receipt, then in respect of that purchase:

  • any Chances and Mystery Boxes issued for it are void (for an online purchase, the Mystery Boxes for that store and day are recalculated on what remains, as the Promotion Terms & Conditions describe);
  • any Set Pieces revealed in connection with it are removed from your account, and your Set progress is adjusted accordingly;
  • any provisional prize associated with it is void and will not be paid, and any prize already paid may be recovered under clause 6.5.

The adjustment is applied once detected and will be shown in your account. This clause, together with the explanation shown in the Platform, is your notice of what a cancellation or return costs you.

Prizecart may adjust, deduct, reverse or correct any Chance, Mystery Box, Set Piece, Set progress, outcome or displayed amount at any time where necessary, including to correct an error, to reflect a cancelled, refunded or returned purchase, or in response to fraud or suspected fraud.

8. Prize Payment

Once a prize is won in store, or an online prize is confirmed, it is paid in the form specified in the applicable Promotion Terms & Conditions, ordinarily by electronic funds transfer to an Australian bank account in your own name. Any gift card, voucher, goods or experience offered in a promotion is subject to the supplier's or issuer's standard terms, and the relevant brand does not sponsor, fund or administer the promotion unless the Promotion Terms & Conditions expressly say so.

Any amount shown in-app in connection with a provisional or confirmed prize:

  • Does not represent funds held on trust;
  • Does not constitute a deposit or stored value facility;
  • Does not accrue interest;
  • Does not create proprietary rights over any asset.

Such amounts represent contractual promotional entitlements only.

Prizes are not transferable. A prize cannot be sold, assigned, transferred or exchanged, and is not redeemable for anything other than the form stated in the Promotion Terms & Conditions. A prize will be paid only to the account holder who won it, and only to a bank account or delivery address in that person's name.

Tax is your responsibility. Prizecart does not withhold, remit or pay any tax on your behalf in connection with a prize. You are solely responsible for determining and meeting any tax liability arising from receiving a prize, including any income tax, GST or other tax, duty or levy, and for obtaining your own independent advice. Prize values are stated inclusive of GST where applicable. Prizecart is not liable for any tax consequence of a prize, and no adjustment, gross-up or additional payment will be made on account of tax.

9. Fraud, Abuse and Platform Manipulation

Prizecart may suspend, restrict or terminate accounts if it reasonably believes you have engaged in:

  • Multi-accounting
  • Refund cycling, cancellation cycling or chargeback abuse
  • Scanning receipts that are not for your own purchases, including other customers' receipts, discarded receipts, or receipts issued by venue staff without a matching purchase
  • Altering, duplicating or fabricating receipts, or submitting receipts that are digitally created or generated by artificial intelligence
  • Obtaining Chances with the assistance of a venue's staff otherwise than by a genuine purchase
  • Artificial transaction manipulation
  • Coordinated activity
  • Bot use or automation
  • Exploitation of system mechanics
  • Circumvention of Chance limits
  • Misrepresentation of identity or eligibility

The list above is not exhaustive, and conduct need not be successful to fall within it — an attempt is enough.

Prizecart may suspend or close your account, void any Chance, Mystery Box, Set Piece, Set progress or provisional outcome, decline to confirm or pay any prize, reverse payments, recover any prize already paid under clause 6.5, and permanently ban you from the Platform. Prizecart is not required to provide advance notice before taking such action, and may take it in respect of any account it reasonably determines is linked to or associated with yours.

9.1 Deferral pending investigation. Where Prizecart is investigating conduct of the kind described in this clause in relation to your account, it may defer the scanning of receipts and orders on that account, and defer the display of any outcome, until the investigation concludes. Prizecart will conduct any such investigation promptly and will notify you. Chances deferred under this clause remain valid and may be scanned once the investigation concludes in your favour, provided the relevant promotional period has not ended. This clause does not permit Prizecart to alter the outcome of any Chance.

10. Promotions and Trade Promotion Terms

Each major campaign, seasonal collection or limited drop may be governed by separate Promotion Terms & Conditions.

In the event of inconsistency between this Agreement and specific Promotion Terms, the Promotion Terms prevail.

Participation in any promotion constitutes acceptance of its specific terms.

Prizecart prize promotions are conducted as trade promotion lotteries under Australian State and Territory law and are open only to residents of Australia aged 18 or over. A promotion is not necessarily open in every State and Territory. Which States and Territories a promotion is open in, and any other eligibility conditions for it, are set out in that promotion's own terms and are shown in the Application before you take part.

Some people are restricted in how they can take part. Prizecart's own directors, officers, employees and contractors, and their immediate families, cannot take part in Prizecart promotions. People who own, manage or work at a Participating Venue or Participating Trader may be restricted from winning, or from earning Chances at the business they are connected with. The restrictions that apply to a promotion are set out in that promotion's own terms and shown in the Application.

A promotion may limit the number of prizes available, the number any one participant may win, or the number of Chances that can be earned; any such limit is set out in the applicable Promotion Terms & Conditions and shown in-app.

Prizecart may also withhold a prize where it reasonably determines, on documented evidence and after giving you an opportunity to respond, that your account is not in good standing, including where it shows a pattern of cancellations, refunds or chargebacks. Nothing in this paragraph limits your rights under the Australian Consumer Law.

11. Retailer and Venue Independence

Participating Traders and Participating Venues are independent third parties. Except where the applicable Promotion Terms & Conditions expressly state otherwise, they:

  • Do not administer Prizecart promotions;
  • Are not responsible for prize funding;
  • Are not liable for prize outcomes;
  • Do not receive your name, contact details or account details from Prizecart. A Participating Venue receives aggregated information about scans at its venue. Where Prizecart needs to check that a receipt matches a genuine transaction, it may share the details printed on that receipt, such as its date, time and total, with the venue that issued it, without identifying you.

If you own or operate a Participating Venue, that business's participation in Prizecart is governed by a separate Venue Participation Agreement between it and Prizecart, not by this Agreement. This Agreement governs your own personal use of the Platform. Clause 10 describes how people who own, manage or work at a participating business may be restricted.

A retailer, venue or brand may, in a particular promotion, contribute or fund a prize, have a collectible themed to or named after it, or promote a campaign through its own channels. Where it does, that will be disclosed in the applicable Promotion Terms & Conditions and clause 1 applies: Prizecart remains the promoter, remains responsible for conducting the promotion, and alone determines who wins.

All purchases are governed by the retailer's or venue's own policies, including returns and refunds. Prizecart accepts no responsibility for retailer or venue conduct or product quality.

12. System Errors

12.1 Errors and malfunctions. Prizecart reserves the right to correct errors resulting from technical malfunction, system failure, connectivity disruption, data corruption, configuration error, receipt misreading or coding defect.

If an outcome is displayed due to such an error, Prizecart may (acting reasonably and to the extent permitted by law) declare it void and reprocess the outcome. Where it does so, Prizecart will keep records of the error and notify you with reasons. This applies to genuine errors only and is not a means of reversing a validly won prize.

12.2 Security incidents and unauthorised access. If Prizecart reasonably believes that the Platform, an account, or any system used to issue Chances, validate receipts, allocate Set Pieces or determine outcomes has been subject to unauthorised access, interference, tampering, exploitation of a defect, malicious code, denial-of-service, credential compromise or any other security incident, Prizecart may:

  • suspend the Platform, any promotion, or any account, in whole or in part;
  • suspend or void any Chance, Mystery Box, Set Piece, Set progress or provisional outcome that was affected by, or issued or displayed during, the incident;
  • decline to confirm, and decline to pay, any prize affected by the incident;
  • require re-verification of any account before restoring access; and
  • take any other step reasonably necessary to protect the integrity of the Platform, its promotions and its users.

Prizecart will act reasonably and in good faith, will keep records, will notify affected users, and will comply with any applicable notification obligations and any direction of a relevant regulator or trade promotion authority. Where an outcome was validly obtained and is unaffected by the incident, this clause does not permit Prizecart to withdraw it.

12.3 Recovery. Where a prize has already been paid and is later found to have arisen from an error, a defect, or a security incident of the kind described in this clause, clause 6.5 applies and Prizecart may recover the prize or an amount equal to its value as a debt.

12.4 Determination. Prizecart's decision under this clause is final, subject to applicable law and your rights under the Australian Consumer Law.

13. Communications

By registering an account, you consent to receive:

  • Account-related communications;
  • Security alerts;
  • Promotional notifications;
  • Marketing communications (subject to applicable law).

You may opt out of marketing communications where legally permitted.

14. Intellectual Property

All content, trademarks, logos, software and design elements are owned by Prizecart or its licensors.

You may not copy, reproduce, scrape, reverse engineer, distribute or exploit any portion of the Platform without written consent.

15. Indemnity

You agree to indemnify Prizecart and its affiliates against claims, losses, liabilities and expenses arising from and to the extent caused by your breach of this Agreement or your misuse of the Platform, except to the extent the loss results from Prizecart's own negligence or breach. Nothing in this clause requires you to indemnify Prizecart for any liability that cannot be excluded under the Australian Consumer Law.

16. Warranty Disclaimer

The Platform and Services are provided "as is" and "as available."

Prizecart makes no warranties regarding:

  • Continuous availability;
  • Error-free operation, including that every receipt can be read;
  • Specific prize outcomes;
  • Retailer or venue performance.

Nothing excludes rights under the Australian Consumer Law.

17. Limitation of Liability

Prizecart is not liable for indirect, incidental, consequential or economic loss. Nothing in this Agreement excludes, restricts or modifies any consumer guarantee, right or remedy under the Australian Consumer Law (Schedule 2 to the Competition and Consumer Act 2010 (Cth)) that cannot lawfully be excluded.

18. Termination

Prizecart may suspend or terminate your account for breach, fraud, regulatory compliance, operational necessity, or commercial reasons.

You may cease using the Platform at any time.

19. Governing Law

This Agreement is governed by the laws of Victoria, Australia. The courts of Victoria have non-exclusive jurisdiction.

20. Severability

If any provision of this Agreement is or becomes invalid or unenforceable in any jurisdiction, that provision applies to the maximum extent permitted and, to the extent it cannot, is severed, and the remaining provisions continue in full force and effect.
